NottsRam77 reacted to Duracell in Sone Aluko (Gone to Ipswich) & Sam Baldock (Signed)
Sone Aluko is the kind of player that always causes us massive problems when we play against him, but will immediately become useless the moment he signs for us.

Businesses are normally sold on a debt free cash free basis with purchaser coming in covering overheads as soon as contracts are exchanged. They also would have to open their own bank accounts for the business which as we all know is very difficult with current money laundering regulations, it is clear a date for signing completion and exchanging contracts had been agreed and bank accounts emptied prior to that taking place. It is also clear that on the other side, the fake Sheik has a case to answer, although suing him like his own lawyers are doing, is probably throwing good money after bad.
Regarding due diligence although in this case probably due negligence is a more apt description, would NOT have been carried out by Mel and Pearce, the selling party on a deal as complex and large as this would have definitely been outsourced to an M&A specialist of which there very many, and I have lifted their sales role from a company I have dealt with in the past when selling a business.
“Privately-held and public companies, and private equity firms around the globe count on our mergers & acquisitions (M&A) team for comprehensive financial advisory services and expert guidance. We assist buyers and sellers by providing in-depth financial and strategic analysis, identifying optimal potential transaction partners, developing creative deal structures, and negotiating complex M&A transaction terms.
Your business is unique. You don’t want an advisor who just shows up when it’s time to sell, you want an advocate. Selling companies for private business owners, corporations, and financial sponsors is our specialty. Our commitment to clients is consistent and simple: get the deal done right and deliver the highest quality outcome – both qualitatively and quantitatively.”
As you can see DCFC would not have the resources to do a full DD on the purchaser, it would take a specialist company to do it, therefore the comments about DD on here are misinformed and not accurate.
I think when all the dust has settled Mel will have a number of lawsuits outstanding, as he has been seriously let down by his advisors.

Nor me now you mention it. I have just kicked the Mrs out of the house and told her she has had her last chance after yesterday’s arson incident. Romantic candles my arse.

Are we saying Mel did zero due diligence then?
think what u want of him and yes it’s gone sour but I think as a businessman of more years than half of us are in age I’d well imagine he saw enough to have some level of confidence that this was going to happen ?no?

How much of that is due to their nationality? It's also true that we knew names, I know. The Americans are all:
"I've seen that X is trying to buy a club"
"I hope it's Y, he's loaded"
There doesn't seem to be anything about "dodgy Americans" or "tyre kickers" at the moment. Once names are named, if before the deal is completed, I'm sure that those comments will come.

Wasn’t this purely because we were about to be taken over ? and like all company’s that change hands there has to be a period in time where assets and monies are frozen to enable the transaction to be completed
with something as complicated as a football club sale .. and with what turns out to have been a damp squib of a potential new ownership group it’s seems to me the the efl have taken the first possible opportunity to slap their dicks in our face ?
have we a history of not paying our players ? No
have we not paid our players before ? No
was this because of factors outside of our control ? Yes
if the bzr hadn’t taken Mel and the club for a ride then this would never have happened
think it’s a fricking P take quite frankly and part of their “with regret” couldnt contest the DC and their 100k fine
think they’re being utter ********* towards us quite frankly and won’t rest til they have what they want out of this whole situation

That’s a Fair point
although selling a football club I’m sure I’d imagine is a wee bit more complicated than a house sale
especially when your dealing with people’s salaries and a dodgy / fake sheik/ potential owner
but it’s a valid point ?

More pathetic sabre rattling from a governing body so far up its own arse it can't see the wood for the trees. Their reputation lies in tatters and still they hound their own member clubs. This is the beginning of the end for an arcane, self-serving, Premiership lapdog and I for one can't wait to see the back of them.

Trouble is, if the new investor promises to pay the wages and Mel goes to bed thinking all’s sorted. Then it’s not, I guess it’s Mels fault right?
-

It is his fault. For at least trusting the 'promise' of an investor. Seems a remarkably cavalier approach to payment of employees' salaries.

If there is an (unspoken) agreement that the EFL will accept the new accounts when resubmitted and drop their vendetta against the club, then this is just about an OK price to be paid for that. But if no such agreement is in place, then this is ridiculous. And should have been contested.

NottsRam77 reacted to JfR in Has the transfer embargo been lifted?
I might be reading it wrong, but looking at the regulations related to the transfer embargo, it seems we're only allowed to make signings to get the squad up to 23 players of "professional standing". What concerns me is the description of "professional standing":
"any Player who has made one first team appearance (including as a sub) for any Club in any first team competition (EFL Trophy appearances do not count)."
Doesn't this mean that, by the regulations of the league, every academy player that played for Derby in the Chorley game and is still at the club counts towards that 23? If so, I would imagine this is one of the first things that Derby must be trying to work out with the league. It would be an absurd situation if we were forced to count academy players, many of whom are still only U18s, as first team players because they were forced to fulfil one fixture that the first team could not postpone.

So if you are selling your house and contracts are being exchanged you would pay the next instalment of your mortgage , council tax bills etc just in case even though legally you are not obliged to do so ?

Think your being a bit harsh mate
if the club were as close t a takeover as possible then like any business changing hands accounts and have to be frozen in a period in time to enable a transfer
someone with greater knowledge on this than we I’m sure will be able to explain it better

I think you've misunderstood me. I was saying that he did let managers manage, unless the original comment was about the dressing room incident? I can't think of any other occasion where Mel publicly interfered with the manager

I missed the word overall in front of running.
My post was in support of Mel Morris who according to many document leaks on the internet had very serious health issues over the past 12 months including in one document which was headed as an "offer for sale memorandum" which contained the statement that he was suffering from cancer earlier last year and undergoing treatment, I therefore get angry and take exception to assertions that he has gone missing has lost interest and is lacking in communication with a very hostile subset of supporters, all of whom appear to pile on without quoting anything other than their opinions which invariably are suppositions about conjecture.
Give the guy a break.

Just with regard to our current state of play
is anybody else a little more worried today ?
IF there’s a takeover happening … and IF they had money .. and IF our new reinstated accounts were ok
why would we be shopping for the likes of stearman and jags.
donr get me wrong I’m not writing anyone off before they’ve even signed or kicked a ball for us
and I certainly don’t expect fireworks and marquee signings again .. but u know what I mean
or are we that desperate to get some bodies in

A chairman letting a manager manage ??
isn’t that what’s supposed to happen ?
I know what ur getting at but I don’t think we can have a go at Mel for backing his managers .. he trusted their judgment with his money
he just put his faith in the wrong people sadly
